END USER LICENSE AGREEMENT (EULA)

KICKIDLER EMPLOYEE MONITORING SOFTWARE

Effective Date: 01 March 2025

Governing Law: Republic of Cyprus

This End User License Agreement (“Agreement”) is a legally binding contract between TELE LINK SOFT (TLS) CY LTD, a company incorporated and existing under the laws of the Republic of Cyprus (Registration Number: HE 391478), having its registered address at Vasilissis Freiderikis, 9A, 1066, Nicosia, Cyprus (“Licensor”), and any individual or legal entity that downloads, installs, activates, accesses, or otherwise uses the Kickidler Employee Monitoring Software (“Licensee”).

By installing, activating, accessing, or using the Software, the Licensee confirms that they have read, understood, and agree to be bound by the terms of this Agreement.

By accepting this Agreement, the Licensee also accepts the Kickidler Refund Policy, which forms an integral and legally binding part of this Agreement.

If the Licensee does not agree to the terms of this Agreement, they must not install or use the Software.

1. Definitions

1.1. Software — Kickidler Employee Monitoring Software, including all components, modules, scripts, databases, documentation, updates, or enhancements.

1.2. License — non-exclusive, non-transferable right to use the Software according to this Agreement.

1.3. License Key — activation code enabling lawful use of the Software.

1.4. Workstation — a device where the Software is installed.

1.5. Monitoring Data — data collected from monitored employees’ devices.

1.6. Support — technical assistance provided by Licensor during active license period.

2. Grant of License

2.1. Licensor grants a revocable, limited, non-exclusive, non-transferable License for on-premise installation and use of the Software on the number of Workstations purchased.

2.2. No rights are granted beyond those explicitly provided in this Agreement.

2.3. Licensor retains all copyrights and intellectual property rights.

3. License Restrictions

Licensee shall not, and shall not allow third parties to:

• sublicense, sell, rent, lease, distribute, or transfer the Software or License Key;
• modify, translate, reverse engineer, disassemble, or create derivative works;
• remove or alter Licensor’s trademark, copyright, or proprietary notices;
• use the Software for any unlawful purpose, including violation of privacy, labor, or data protection laws.

Violation may result in immediate termination without refund.

4. Employee Monitoring Compliance

4.1. The Software is designed for employee productivity and workplace monitoring.

4.2. Licensee is solely responsible for providing clear notices and obtaining all legally required consents from monitored employees.

4.3. Licensee bears the full burden of compliance with labor, privacy, and data protection laws in its jurisdiction.

4.4. Licensor does not act as employer or controller of Monitoring Data and does not provide legal advice on monitoring compliance.

5. Data Ownership & Privacy

5.1. Monitoring Data is stored entirely on Licensee’s infrastructure; Licensor does not access employee data.

5.2. Licensee is fully responsible for securing such data.

5.3. Licensor may process Licensee’s business contact information solely for license administration.

6. Installation, Activation & Acceptance

6.1. Installation or activation constitutes acceptance of this Agreement.

6.2. Payment also constitutes acceptance.

6.3. License Keys must be safeguarded against unauthorized use.

6.4. The Licensee acknowledges that the Refund Policy was made available prior to acceptance of this Agreement and confirms that acceptance of this Agreement constitutes simultaneous acceptance of the Refund Policy.

7. Updates & Support

7.1. Updates may be provided at Licensor’s discretion.

7.2. Support is provided via support@kickidler.com during the license term.

8. Fees & Payment

8.1. Fees must be paid in advance according to Licensor’s pricing or distributor terms.

8.2. Licensor does not charge VAT unless required under Cyprus or EU law.

8.3. Non-payment may result in suspension of License access.

9. Limitation of Liability

To the fullest extent permitted by law:

• Licensor shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits.
• Licensor’s aggregate liability shall not exceed the fees paid by Licensee in the preceding 12-month period.

Licensee uses the Software at their own risk.

10. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

Licensee shall indemnify and hold Licensor harmless from claims or damages arising from Licensee’s unlawful or non-compliant use of the Software.

12. Term & Termination

12.1. Agreement takes effect upon installation, activation, or payment.

12.2. Licensor may terminate if Licensee breaches any terms.

12.3. Upon termination, Licensee must cease use and permanently delete the Software.

13. Relation to Refund Policy

13.1. The Refund Policy is incorporated herein by reference.

13.2. In case of contradiction, this Agreement prevails, except where consumer law mandates otherwise.

13.3. The Refund Policy remains legally enforceable.

14. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Republic of Cyprus.

All disputes shall be settled exclusively by the District Courts of Nicosia, Cyprus.

15. Export Controls

Licensee must comply with EU, U.S., and international export and sanctions regulations.

16. Entire Agreement

This Agreement constitutes the entire understanding between the Parties.

No amendment is valid unless in writing and issued by Licensor.
